1. NATURE OF PLATFORM (INTERMEDIARY)

Retailz.shop operates as an intermediary e-commerce marketplace under Indian law, enabling transactions between independent sellers and buyers.

• Sellers are responsible for product quality, legality, pricing, and fulfillment

• Retailz facilitates listings, payments, and logistics coordination

2. E-COMMERCE COMPLIANCE (INDIA)

In accordance with the Consumer Protection (E-Commerce) Rules, 2020:

• Seller details (name, contact, address) may be displayed to customers

• Clear policies on returns, refunds, and cancellations are provided

• Misleading advertisements and unfair trade practices are prohibited

• A grievance redressal mechanism is available

3. USER ELIGIBILITY & ACCOUNTS

• Users must be 18+ and provide accurate information

• Users are responsible for account security and activity

• Retailz may suspend, verify (KYC), or terminate accounts at its discretion

4. SELLER TRANSPARENCY

• Seller identity and contact details may be shared with buyers

• Sellers are responsible for GST compliance and valid invoicing

5. ORDER ACCEPTANCE & CANCELLATION

• Orders are confirmed post successful payment

• Retailz may cancel orders due to fraud suspicion, pricing errors, or seller issues

6. PRICING & FAIR PRACTICES

• Sellers set prices; Retailz monitors abuse

• Prohibited: fake discounts, MRP manipulation, deceptive pricing

7. SERVICE LEVEL (SLA)

• Processing: 24–48 hours

• Dispatch as committed by seller

• SLA violations may trigger penalties or listing suspension

8. SHIPPING & LOGISTICS LIABILITY

• Shipping may be handled by seller, Retailz, or partners

• Liability is assigned based on control stage:

  • Seller: pre-dispatch issues

  • Logistics: in-transit delays/damage

  • Platform: coordination support

9. PAYMENTS, CHARGEBACKS & SETTLEMENTS

• Payments processed via third-party gateways

• Retailz is not liable for bank/payment failures

• In case of chargebacks or fraud, Retailz may:

  • Reverse transactions

  • Recover amounts from seller payouts

  • Hold or delay settlements

10. RETURNS, REFUNDS & CANCELLATIONS

• Governed by separate Return Policy

• Retailz may require proof (photo/video/unboxing)

• Final decision rests with Retailz

11. FRAUD & ABUSE CONTROL

Strict action against:

• Fake orders

• Return abuse

• Payment fraud

Actions include suspension, payout hold, and legal action.

12. CONTENT & LISTING CONTROL

Retailz may edit, remove, or disable listings that are misleading, illegal, or non-compliant.

13. INTELLECTUAL PROPERTY

• Platform content is owned by Retailz

• Sellers must not violate IP rights

14. DATA PROTECTION & SECURITY

• Data collected for operations and analytics

• Shared with logistics/payment partners

• Retailz does not guarantee 100% security but implements reasonable safeguards

• Users are responsible for safeguarding credentials

15. COMPLIANCE WITH LAWS

Users and sellers must comply with:

• IT Act, 2000

• GST laws

• Consumer Protection laws

Non-compliance may lead to account action or legal consequences.

16. PLATFORM RIGHTS (STRICT CONTROL)

Retailz may:

• Suspend users/sellers

• Remove listings

• Withhold or adjust payouts

• Restrict access without prior notice in high-risk cases

17. LIMITATION OF LIABILITY

• Maximum liability limited to order value

• No liability for indirect, incidental, or business losses

• No guarantee of uninterrupted or error-free service

18. INDEMNITY

Users and sellers agree to indemnify Retailz against claims, damages, fraud, or legal violations.

19. FORCE MAJEURE

No liability for delays due to events beyond control (natural disasters, strikes, government actions, pandemics).

• Language: English

• Decision is final and binding

23. CROSS-BORDER USE

Platform is intended for users in India. International users access at their own risk and are responsible for local compliance.
